2. Scope
These Terms of Sale apply to any order of a Spongram software license placed from the Site, whether by a business or a consumer. Confirming an order constitutes acceptance of these Terms of Sale and of the Terms of Use.
3. Products
- Spongram Desktop — lifetime per-seat license (macOS; Windows and Linux in preparation). Standalone, fully offline application.
- Spongram Cloud — self-host license, source code included, for deployment on the customer's own infrastructure (multi-tenant).

4. Ordering & payment — Merchant of Record
Online sales are operated by Lemon Squeezy, LLC, acting as Merchant of Record: Lemon Squeezy is the counterparty to the payment transaction, issues the invoice, collects applicable taxes (VAT/sales tax) and processes payments securely. Lemon Squeezy's terms apply to the transaction; these Terms of Sale govern the license and the relationship with Sponge Theory as publisher.
Prices are displayed at checkout, exclusive or inclusive of tax depending on the buyer's jurisdiction; the applicable tax is computed by Lemon Squeezy at payment time.
5. Delivery
Delivery is immediate and exclusively digital: the license key and download links are sent by email upon payment confirmation. No physical media is shipped.
6. Right of withdrawal (EU consumers)
Under Articles L.221-18 et seq. of the French Consumer Code (implementing EU law), consumers have fourteen (14) days to withdraw. However, for digital content supplied immediately, the consumer expressly waives the right of withdrawal by requesting immediate performance (downloading the Software or activating the key) and acknowledging this waiver at checkout (Art. L.221-28 13°). If the license has not been activated, withdrawal requests may be made through Lemon Squeezy or at contact@sponge-theory.io.
7. Refunds
Refunds are processed through Lemon Squeezy. Beyond the statutory right of withdrawal, Sponge Theory may grant a goodwill refund within fourteen (14) days of purchase if the Software exhibits a major unresolved malfunction.
8. License & warranties
The scope of the license, warranties and liability limitations are set out in Sections 3 and 7 of the Terms of Use, which form an integral part of the sales contract. Consumers retain in any event the statutory guarantees of conformity applicable to digital content and services, and the guarantee against hidden defects under French law.
9. Support

10. Mediation & disputes
French consumers may use a consumer mediator free of charge (Art. L.612-1 French Consumer Code) to seek an amicable resolution of any dispute with Sponge Theory. The contact details of the competent mediator are available on request at contact@sponge-theory.io. Failing amicable resolution, French courts have jurisdiction as set out in Section 10 of the Terms of Use.
11. Governing law
These Terms of Sale are governed by French law, without prejudice to mandatory provisions of the consumer's country of residence.
