2. Purpose
These Terms of Use ("Terms") govern access to the website spongram.sponge-theory.dev (the "Site") and the use of the Spongram software (the "Software"), published by Sponge Theory, in its two editions: Spongram Cloud (self-host license, source code included) and Spongram Desktop (macOS application, lifetime per-seat license). Using the Site or the Software constitutes full acceptance of these Terms.
3. License
The Software is proprietary. Subject to payment and compliance with these Terms, Sponge Theory grants the user a non-exclusive, non-transferable, perpetual license to install and use the Software:
- Desktop edition: on one seat per purchased license;
- Cloud edition: on the user's own infrastructure, for internal use, the source code being provided for operation and audit purposes.
A free fourteen (14) day evaluation license is granted for the Desktop edition from first installation, with no key and no payment. When the trial expires, the Software's write features are suspended until a license is activated; the user's data remains readable and exportable at all times.
The following are prohibited: reselling, sublicensing or redistributing the Software or its source code, and offering the Software as a service to third parties without Sponge Theory's prior written consent.
4. Data & privacy
Spongram is built for data sovereignty: memories, knowledge graphs and any content processed by the Software reside exclusively on the user's infrastructure (or device, for the Desktop edition). Sponge Theory does not host, collect or process any user content whatsoever.
The Site sets no advertising tracking cookies. Contact details voluntarily provided (email) are used solely to respond and are never sold or shared. Under the GDPR, access, rectification or erasure requests may be sent to contact@sponge-theory.io.
5. Requirements & third-party services
The Software integrates with Claude Code and Claude Desktop, published by Anthropic, PBC, and with Codex, published by OpenAI. Sponge Theory is affiliated with neither Anthropic nor OpenAI; use of those applications is governed by their own terms. Purchases are processed through the Lemon Squeezy platform (see Terms of Sale).
6. Intellectual property
The Software, the Site, their trademarks, logos, content and documentation are the exclusive property of Sponge Theory. Nothing in these Terms transfers any intellectual property right to the user beyond the license described in Section 3.
7. Warranties & liability
The Software is provided "as is". Sponge Theory does not warrant that it is error-free or fit for a particular purpose. Outputs produced by the AI models configured by the user remain the user's sole responsibility.
Sponge Theory's aggregate liability, on any grounds, is capped at the amount actually paid by the user for the license during the last twelve (12) months. Sponge Theory shall not be liable for indirect damages, loss of data occurring on the user's infrastructure, or loss of business.
8. Support & updates
Licenses include access to updates of the current major version. Support is provided by email at contact@sponge-theory.io, with no guaranteed resolution time unless a separate support agreement applies.
9. Termination
In the event of a serious breach of these Terms (in particular of the Section 3 license), Sponge Theory may terminate the license as of right, after formal notice remaining without effect for thirty (30) days.
10. Governing law & jurisdiction
These Terms are governed by French law. Failing amicable resolution, any dispute falls under the exclusive jurisdiction of the courts of Paris, France — subject, for consumers, to any mandatory jurisdiction rules more favourable to them.
